License & Terms

1. Parties

This License Agreement ("Agreement") is entered into between Serhii Shokha – podnik zahraničnej osoby, Company ID (IČO): 55 211 674, Trade Register No: 110-323868, with its registered address at Lermontovova 911/3, 811 05 Bratislava-Staré Mesto, Slovakia ("Licensor"), and you, the individual or legal entity downloading or purchasing the BentoSuite assets ("Licensee").

By downloading, accessing, or using the assets, you agree to be bound by this Agreement.

2. License Grant

Upon downloading or purchasing BentoSuite assets (Free or Pro), the Licensor grants you a non-exclusive, worldwide, perpetual, non-transferable, non-sublicensable license to use the assets under the terms set forth below.

✅ You Are Allowed To:

• Use the assets in unlimited personal and commercial projects.
• Use the assets for client work, including presentations, pitch decks, reports, and internal or external deliverables.
• Modify, adapt, customize, and combine the assets with other materials.
• Use the assets in software tools such as Figma, PowerPoint, Illustrator, or similar design and presentation software.
• No attribution or credit to the Licensor is required when using the assets.

❌ You Are Strictly Prohibited From:

• Reselling, redistributing, sharing, or sublicensing the source files (e.g. .fig, .ai, .pptx) as standalone assets, stock material, or part of any templates, UI kits, design systems, or asset packs sold/licensed/distributed on any platform (including but not limited to Gumroad, Etsy, Creative Market, Envato, or similar marketplaces).
• Making the source files publicly available (including via file-sharing services, GitHub repositories, design communities, or social media).
• Sharing the source files within a team, organization, or group unless each user has purchased their own valid license.

All rights not expressly granted in this Agreement are reserved by the Licensor.

3. Intellectual Property Warranty and Indemnification

Licensor warrants that it owns or controls all rights in the assets necessary to grant the license herein and that the assets do not infringe any third-party intellectual property rights. Licensor will indemnify, defend, and hold harmless Licensee from any third-party claims arising solely from Licensee's use of the assets as permitted under this Agreement, subject to Licensee promptly notifying Licensor of any claim and granting Licensor control of the defense.

4. Delivery & Refund Policy

Delivery:

Digital products are made available immediately after successful payment confirmation.

Refunds:

Due to the nature of digital goods, all sales are final and non-refundable once access to the files has been provided, except where mandatory consumer protection laws apply.

EU Consumer Protection Notice:

In accordance with EU consumer protection law (Directive 2011/83/EU, Article 16(m)), by purchasing and expressly consenting to immediate delivery at checkout, you acknowledge that you lose your right of withdrawal once the download or access has begun.

5. Disclaimer of Warranties

The assets are provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, Licensor's total aggregate liability under this Agreement shall not exceed the amount paid by Licensee for the assets. Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption.

6. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Slovak Republic.

Any disputes shall be subject to the exclusive jurisdiction of the courts in Bratislava, Slovakia.
